Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern the provision of consultancy services ("Services") by JJ Bridgeford Consultants, located at Beamiss Lodge Finchampstead("Consultant", "we", "our", or "us"). By engaging our Services, you ("Client", "you", or "your") agree to be bound by these Terms.

2. Services

We will provide professional consultancy services as described in our proposal, service agreement, or any official correspondence. All services will be delivered with reasonable care, skill, and diligence.

3. Engagement and Scope

The scope of the Services will be outlined in a separate agreement or project proposal. Any changes to the scope must be agreed upon in writing.

4. Fees and Payment

  • Fees for our Services will be outlined in the agreement or invoice.

  • Payments are due within [number] days of the invoice date.

  • Late payments may incur interest at 5% per month or the maximum allowed by law.

  • All fees are exclusive of applicable taxes unless otherwise stated.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation remains in effect even after the termination of services.

6. Intellectual Property

Unless otherwise agreed, all intellectual property created by the Consultant in connection with the Services shall remain the property of the Consultant, subject to a non-exclusive license granted to the Client for internal business use.

7. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential damages.

  • Our total liability for any claim shall not exceed the amount paid by the Client for the Services giving rise to the claim.

8. Termination

Either party may terminate the agreement with 14 days' written notice. On termination, the Client will pay for all Services rendered up to the date of termination.

9. Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, strikes, or governmental actions.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

11. Amendments

We reserve the right to amend these Terms from time to time. Clients will be notified of any material changes.

12. Entire Agreement

These Terms, along with any signed proposal or agreement, constitute the entire agreement between the parties and supersede all prior communications.
